Terms of Service
Last updated: October 23, 2026
1. Acceptance of Terms
By accessing or using EstateEngine (the "Service", "we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to all users of either product surface described below, including trial and paid subscribers, and to brokerage customers that sign a separate order form.
2. Description of Service
EstateEngine provides a SaaS platform for Dubai real estate brokerages. Two product surfaces are covered by these Terms:
- Voice — a multi-tenant platform that runs compliant AI outbound calling campaigns to property owners, past clients, renewals, and handovers, with specialist handoff. The platform provides workspace management, agent compilation, dial scheduling, compliance controls, call analytics, and WhatsApp handoff.
- DM — connects to your Instagram Business account and WhatsApp Business Account to generate AI responses to inbound comments and messages, qualify leads, and alert you when qualified prospects are identified.
Voice telephony is provided through a third-party voice provider (currently Retell), which EstateEngine engages as a sub-processor under its own account. Audio media does not transit EstateEngine servers; we retain the recording URL and the transcript derived from it.
3. Account Registration
To use EstateEngine you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and must promptly notify us of any unauthorized use at contact@getestateengine.com. You must be at least 18 years old and authorized to conduct business.
The Customer must configure workspace roles (admin, manager, specialist, viewer) in a manner consistent with least privilege and must promptly deprovision users who leave the organisation.
4. Eligibility (Voice)
Customers using EstateEngine Voice represent that they are duly incorporated legal entities, hold all licences required to operate a real estate brokerage in their jurisdiction (including RERA registration in Dubai), and have obtained any prior telemarketing approvals required for outbound marketing calls in the UAE (including a valid TDRA prior telemarketing approval).
5. Instagram and WhatsApp Account Requirements (DM)
Connecting your Instagram and WhatsApp accounts requires:
- An Instagram Business or Creator account
- A connected Facebook Page
- A WhatsApp Business Account provisioned to your legal entity
- Your express authorization via Meta's OAuth flow
You are responsible for ensuring your use of the Meta integrations complies with Meta's Terms of Service and Advertising Policies. EstateEngine is not responsible for account restrictions imposed by Meta for policy violations.
6. Customer Obligations
The Customer agrees that it will:
- Only import contact data that has been lawfully obtained and, where required, with a lawful basis to be contacted.
- Warrant that each contact in any uploaded list has a documented lawful basis to be called — a prior transactional relationship with the Customer, an explicit opt-in, or another basis permitted under UAE law, including Cabinet Resolution 56/2024 and DLD Circular 02-2026 (where applicable).
- Hold and maintain valid TDRA prior telemarketing approval for outbound campaigns to consumers in the UAE.
- Use only phone numbers registered to the Customer's licensed entity for outbound dialling.
- Configure and honour opt-in and opt-out flows for WhatsApp handoff, including approved Meta message templates.
- Provide accurate identity and data source statements for use in the recording notice at the start of each call.
- Not disable, weaken, or attempt to bypass any compliance control provided by the Service.
7. Acceptable Use
You agree NOT to use EstateEngine to:
- Contact numbers on any applicable do-not-call registry or the workspace suppression list
- Dial outside the calling window enforced by the Service (09:00–18:00 Asia/Dubai)
- Misrepresent identity, purpose, or the AI nature of the caller
- Send spam, unsolicited commercial messages, or harass users
- Engage in fraudulent, deceptive, or misleading communications
- Violate any applicable laws or regulations
- Infringe intellectual property rights of any third party
- Circumvent rate limits, subscription limits, or security or compliance controls
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell or sublicense access to the Service without written permission
8. AI-Generated Content Disclaimer
EstateEngine uses large language models (currently OpenAI) to generate responses on your behalf. While we design the system to be accurate and professional, AI-generated content may occasionally contain errors or inaccuracies. You acknowledge that:
- All AI responses sent to leads and spoken on calls are produced in your name and on your behalf
- You are responsible for monitoring and reviewing AI conversations and calls
- You are liable for any representations made by the AI agent acting as your agent
- EstateEngine does not guarantee the accuracy of property recommendations, call outcomes, or lead scores
9. Data and Privacy
Your use of EstateEngine is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described in the Privacy Policy. For Voice customers, a separate Data Processing Agreement may apply.
10. Intellectual Property
EstateEngine retains all right, title, and interest in and to the Service, including all software, code, models, and documentation.
You retain ownership of all data you upload (properties, personas, playbook copy, objection packs, configuration, and lead data). You grant us a limited licence to process this data solely to provide the Service to you.
Feedback and suggestions you provide may be used by EstateEngine without restriction to improve the Service.
11. Confidentiality
Each party will protect the other's confidential information using the same degree of care it uses for its own, and in any event no less than a reasonable degree of care. Confidential information may be disclosed only to personnel who need to know it and are bound by equivalent obligations.
12. Service Availability
We aim for high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience outages. We will provide reasonable notice for planned downtime where possible.
13. Warranties and Disclaimers
EstateEngine warrants that it will provide the Service with commercially reasonable care and skill. Except as expressly set out in these Terms, the Service is provided "as is" and EstateEngine disclaims all other warranties, express or implied, including fitness for a particular purpose, non-infringement, and uninterrupted operation.
14. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising from use of the Service. Each party's total aggregate liability arising out of or related to these Terms will not exceed amounts paid by the Customer to EstateEngine in the twelve (12) months preceding the event giving rise to the claim.
These limitations do not apply to liability for fraud, wilful misconduct, or amounts owed under an indemnification obligation.
15. Indemnification
The Customer will defend and indemnify EstateEngine against any third-party claim arising from (i) the lawfulness or provenance of the contact list, (ii) the Customer's failure to obtain required regulatory approvals, (iii) the Customer's violation of applicable telemarketing, data protection, or consumer protection law, or (iv) the Customer's breach of Section 6 (Customer obligations) or Section 7 (Acceptable use).
EstateEngine will defend the Customer against any third-party claim that the Service, as provided by EstateEngine and used in accordance with these Terms, infringes a third party's intellectual property rights.
16. Termination
We may suspend or terminate your account for violation of these Terms, non-payment, or any reason with 30 days' notice. In cases of serious violation (e.g. spam, fraud, illegal activity), termination may be immediate. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice.
You may delete your account at any time. Upon termination the Customer may export its data via the Service for thirty (30) days, after which data is removed per our data retention policy described in the Privacy Policy.
17. Governing Law
These Terms are governed by the laws of the United Arab Emirates. The parties agree to submit to the exclusive jurisdiction of the courts of Dubai for any dispute arising out of or in connection with these Terms, without prejudice to any right to seek interim relief in any competent jurisdiction.
18. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
